Microsoft's statement says that it is "offering shareholders superior value and the opportunity to participate in the upside of the combined company."

Yesterday evening, Microsoft issued a statement in response to Yahoo!'s announcement that it had rejected the $44.6 billion offer to buy the troubled Internet portal.

The response reads as follows:

"It is unfortunate that Yahoo! has not embraced our full and fair proposal to combine our companies. Based on conversations with stakeholders of both companies, we are confident that moving forward promptly to consummate a transaction is in the best interests of all parties.

We are offering shareholders superior value and the opportunity to participate in the upside of the combined company. The combination also offers an increasingly exciting set of solutions for consumers, publishers and advertisers while becoming better positioned to compete in the online services market.

A Microsoft-Yahoo! combination will create a more effective company that would provide greater value and service to our customers. Furthermore, the combination will create a more competitive marketplace by establishing a compelling number two competitor for Internet search and online advertising.

The Yahoo! response does not change our belief in the strategic and financial merits of our proposal. As we have said previously, Microsoft reserves the right to pursue all necessary steps to ensure that Yahoo!’s shareholders are provided with the opportunity to realize the value inherent in our proposal.
"

The last thing that anyone wants is a hostile takeover... but that's exactly what the final part of the statement implies in my opinion. Do you think Microsoft should just back off or increase its bid? Share your thoughts on the statement in the forums.

Hostile takeover? How can Microsoft buy / takeover Yahoo! without Yahoo!'s consent?
I'm sorry if this is a stupid question, but I'm not familiar with corporate business procedures and tactics.

They buy shares and continue to buy shares until they own a majority of the group/company (at least thats the way I think it works).

but to be honest does Billy Gates need to get any richer he already has a REPORTED fortune in excess of 62 BILLION though he is no longer considered the worlds richest man that now goes in this order

The five richest people in the world with their net worth (as of October 29 2007)

1. Mukesh Ambani ($63.2 billion)

2. Carlos Slim Helu ($62.2993 billion)

3. William (Bill) Gates ($62.29 billion)

4. Warren Buffett ($55.9 billion)

5. Lakshmi Mittal ($50.9 billion)

That way they're guaranteed a win and outright control, but really they just need over 50% of the shares voting on their side. So "Microsoft reserves the right to pursue all necessary steps to ensure that Yahoo!’s shareholders are provided with the opportunity to realize the value inherent in our proposal" means putting an attractive case to the shareholders and getting enough of their votes. Or as the other Mafia might put it, making them an offer they can't refuse. ;)

Microsoft wants Yahoo! I suspect for two reasons. Even if Yahoo! isn't top dog in the internet searching business anymore, they once were. They aren't slouches. They knew what they were doing and probably still do. There is also name recognition. If MS eats Yahoo, then it'll probably send a metaphorical chill down other competitors backs. In addition it gives them more strength to fight "Teh Google" (sic) and that is what I suspect the true goal is. I believe that for whatever reason, rather then developing internally a search/gateway/etc development team, they want to just snatch up Yahoo! and their talent and manipulate it from their into their own image.

Google is probably one of Microsoft's few 'true' competitors, except for maybe Apple. In the way that MS and Apple fights computers, MS and Google fight for the interwebz. At least this is how i see it. Any corrections or errata may be appended in a reply. :P

Ads. Google owns online advertising, and Yahoo is next on the dogpile. MS hasn't been able to get the online advertising revenue thing figured out, and so they are doing what MS has always done, buy talent.

Yahoo also comes with a huge user base who use the sites (chat, flikr, blogs, messenger, etc etc, and who look at ads. I think MS is seeing that they can't survive as a monopolistic software company forever and so are diversifying into other areas.

yahoo is going to get taken over, if they like it or not
